1. Introduction and Acceptance

Welcome to PodRewind. These Terms of Service ("Terms") constitute a legally binding agreement between you and ARCHELAUS LLC ("Company," "we," "us," or "our"), a New York limited liability company, governing your access to and use of the PodRewind website and services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

2. Description of Service

PodRewind is a podcast archival and search platform that provides:

• Automatic transcription of podcast episodes using AI-powered speech-to-text technology
• Speaker identification and labeling within episodes
• Full-text and semantic search across your podcast archive
• Analytics and insights about your podcast content
• Audio playback with synchronized transcript navigation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be at least 18 years of age
• Accept responsibility for all activities that occur under your account

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

PodRewind offers the following subscription options:

Free Plan

The free plan includes up to 10 episodes per RSS feed with full transcription, speaker identification, and search capabilities. No credit card is required.

Pro Plan

The Pro plan is billed at $29 per month per RSS feed and includes unlimited episodes, priority processing, and access to all features. Historical content ingestion beyond the most recent episodes may incur additional one-time fees.

Fair Use Policy: "Unlimited" episodes are subject to fair use. We reserve the right to throttle or suspend accounts that exceed 1,000 hours of audio processing per month or otherwise place an unreasonable burden on our infrastructure, in our sole discretion.

Billing Terms

Paid subscriptions are billed in advance on a monthly basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We reserve the right to change our pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at help@podrewind.com. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• Your account will revert to the free plan limitations
• Your data will be retained unless you request deletion

Money-Back Guarantee

We offer a satisfaction guarantee for new subscribers:

• Monthly subscriptions: 14-day money-back guarantee from your initial subscription date
• Annual subscriptions: 30-day money-back guarantee from your initial subscription date

This guarantee applies to first-time subscribers only. Renewal payments are not eligible for the money-back guarantee.

Non-Refundable Charges

The following charges are non-refundable:

• Ingestion fees: One-time fees for processing your historical podcast archive are non-refundable once processing has begun, as we incur third-party transcription costs immediately
• Partial periods: We do not provide pro-rated refunds for unused portions of a billing period
• Referral credits: Have no cash value and cannot be refunded

6. Referral Program

PodRewind offers a referral program for eligible Pro subscribers. By participating in the Referral Program, you agree to the following terms:

Eligibility

To participate as a referrer, you must have an active Pro subscription in good standing. Referred users must be new customers with no prior PodRewind account and must complete their first paid subscription within 30 days of clicking a referral link.

Rewards

When a referred user completes their first qualifying purchase:

• Referrer: Receives $29 credit applied to their Stripe Customer Balance
• Referred User: Receives $29 off their first Pro subscription

Referral credits have no cash value and are non-transferable. Credits cannot be sold, exchanged, or redeemed for cash. Credits apply automatically to future subscription invoices and are forfeited if your account is closed.

Prohibited Activities

You may not:

• Refer yourself by creating multiple accounts or using alternate identities
• Share referral codes on public coupon, deal, or rebate websites
• Use misleading, deceptive, or spammy promotion methods
• Send unsolicited bulk emails (spam) containing referral codes
• Use automated systems, bots, or scripts to generate referrals
• Refer users who are already PodRewind customers

Credit Clawback

We reserve the right to revoke referral credits if:

• The referred user requests a refund or initiates a chargeback within 30 days
• The referred user cancels their subscription within 30 days
• Either party violates these terms or engages in fraudulent activity
• The referred user's payment is declined or disputed

Clawbacks are applied as debit adjustments to your Stripe Customer Balance, which may result in a negative balance applied to your next invoice.

Referral Tracking

Referral codes are shared via URL parameter (e.g., ?ref=YOUR_CODE). When a user clicks your referral link, we store the code in a cookie for 30 days. If the user signs up within that period, you receive credit. We use last-click attribution, meaning the most recent referral code receives credit. Tax Responsibility

You are solely responsible for any tax obligations arising from referral credits. We do not provide tax advice. For U.S. taxpayers, credits may be considered taxable income, and we may issue IRS Form 1099-MISC if credits exceed $600 in a calendar year.

Program Changes

We reserve the right to modify, suspend, or terminate the Referral Program at any time with 30 days' notice. Changes to reward amounts or eligibility requirements apply prospectively. Upon program termination, any pending credits not yet applied will be forfeited.

7. Content Ownership and License Grant

Your Content: You retain all ownership rights to the podcast content, audio files, and associated metadata that you submit to the Service ("Your Content"). We do not claim ownership of Your Content.

License to Us: By submitting Your Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, store, and display Your Content solely for the purpose of providing and improving the Service. This license includes the right to generate transcripts, identify speakers, and create searchable indexes of Your Content.

Generated Content: Transcripts, speaker labels, and other outputs generated by our Service from Your Content are provided to you for your use. You may export, copy, and use these outputs as you see fit, subject to any third-party rights in the underlying content.

8. Acceptable Use Policy

You agree not to use the Service to:

• Upload content that you do not have the right to distribute
• Violate any applicable law, regulation, or third-party rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service to process content that is illegal, defamatory, or infringes on others' rights

We reserve the right to suspend or terminate your access to the Service for any violation of this Acceptable Use Policy.

9. Intellectual Property and DMCA Notice

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of ARCHELAUS LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent. Nothing in these Terms grants you any right to use the PodRewind name, logo, or branding.

DMCA Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to our Copyright Agent via email at info@podrewind.com and include in your notice a detailed description of the alleged infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.

10. Third-Party Services

The Service integrates with and relies upon third-party services including AssemblyAI for transcription, Google Gemini for AI processing, Supabase for data storage, and Vercel for hosting. Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or content of third-party services. Any issues arising from third-party services should be directed to the respective provider.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Transcriptions will be 100% accurate
• Speaker identification will be completely accurate
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

AI-generated transcriptions and speaker identifications are provided as tools to assist you and should be reviewed for accuracy before any critical use. You acknowledge that the Service uses artificial intelligence systems which may produce inaccurate, offensive, or biased outputs ("Hallucinations"). You agree that you are solely responsible for verifying the accuracy of any transcript, summary, or content before publishing or relying on it.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCHELAUS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Errors or inaccuracies in transcriptions or speaker identification

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless ARCHELAUS LLC, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, Your Content, or your violation of any rights of a third party.

14. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Informal Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at help@podrewind.com. We will attempt to resolve the dispute informally within 60 days.

Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

Waiver of Class Action: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Termination, Modifications, and Contact

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ARCHELAUS LLC regarding the Service and supersede any prior agreements.
